Notice of 2024 Annual General Meeting and Executive Committee Elections

6 Nov 2023

We are seeking nominations for candidates to stand for election for the 2024-2026 Executive Committee.

Dear British Chamber Shanghai Members,

The British Chamber of Commerce Shanghai formally announces that the 2024 Annual General Meeting (AGM) will be held on Tuesday, 23 January 2024, at 15:00; please reserve this date in your diary. All motions for consideration must be submitted to Stuart Dunn before Monday, 27 November 2023, by email to stuart.dunn@britishchambershanghai.cn

Executive Committee (ExCo) Elections

This notice also signifies the start of the Executive Committee election process. We are seeking nominations for candidates to stand for election for the 2024-2026 Executive Committee. This is when we encourage members to consider taking an active role in helping steer the Chamber by joining the Executive Committee. The duties are not onerous: up to one ExCo meeting each month; volunteering for some taskforces, supporting one of the Committees and acting as its spokesperson on the committee – the main requirement is enthusiasm and desire to improve the Chamber.

This year, 7 Executive Committee at-large member positions are up for election. If elected, the successful nominee will be a full voting member of the Executive Committee. Nominations for these positions must be submitted on the nomination form (download here), and both the proposer and the nominated person must sign the nomination form. Self-nominations are not permitted.

To stand for election, the candidate must be either

  • (a) an individual member of the Chamber who holds UK citizenship or
  • (b) the Authorised Representative (known as Primary Member in the GlueUp system) or another authorised member of staff who is a UK citizen.

In accordance with the Constitution, nominations will be vetted and approved by a majority vote of the existing Executive Committee prior to issuing the ballot papers.

The election process includes a 4-week canvassing period for the candidates prior to opening of the voting period.

In accordance with the Constitution, the timetable for the 2024 elections is hereby advised as follows:

  • Monday 6 November 2023: Nominations open for the vacant positions on the Executive Committee. Completed nomination forms must be submitted to the Executive Director by email.
  • Monday 4 December 2023 (at 4 pm): The nomination period closes.
  • Thursday 7 December 2023: A list of all the candidates, together with their bios, will be circulated to all voting Members (Authorised Representative) by e-mail and available for review on the website – the canvassing period commences.
  • Friday 5 January 2024: Voting period opens.
  • Monday 15 January 2024: Voting period closes, and the Election Manager/Returning Office will count votes.
  • Tuesday 23 January 2024: AGM – Results announced.

All voting will be by secret ballot, and votes will be cast via an online voting system. The result of the election will be announced at the AGM. If the number of candidates is equal to or less than the number of elected ExCo member positions to be filled, the returning officer may declare the result without a vote. The Chair, Vice-Chairs and other officers of the ExCo will be selected by the ExCo from within their eligible members.

Members of the Chamber with a registered and active British Chamber Shanghai Glue Up account are entitled to attend the AGM; voting Members may nominate a substitute, which must be done formally in writing.
